MindDrop Terms of Use (EULA)

These Terms of Use ("Terms") govern your use of the mobile application "MindDrop" ("the App") provided by ReFlow Inc. ("we"). By installing or using the App, you agree to these Terms.

1. License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, subject to the Apple Media Services Terms and Conditions and these Terms.

2. Subscriptions and Billing

The App offers auto-renewing subscriptions (MindDrop Pro Monthly and MindDrop Pro Yearly) via Apple's In-App Purchase. Subscription duration, price, and per-unit pricing are displayed on the subscription page in the App.

• Payment is charged to your Apple ID account at confirmation of purchase
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• The account is charged for renewal within 24 hours prior to the end of the current period
• You can manage and cancel subscriptions in your Apple ID account settings
• Any unused portion of a free trial period (if offered) is forfeited when you purchase a subscription

3. Apple Standard EULA

In addition to these Terms, your use of the App is subject to the Apple Licensed Application End User License Agreement at:

In the event of any conflict, the Apple Standard EULA prevails for matters covered by it.

4. Prohibited Conduct

You agree not to:

• Reverse engineer, decompile, or attempt to derive the source code
• Use the App for unlawful purposes
• Interfere with or disrupt the App's servers
• Resell, sublicense, or commercially exploit the App without our written consent

5. Third-Party AI Services

The App uses third-party AI services (OpenAI Whisper, OpenAI GPT) to process voice and text. Such use is subject to the in-app consent flow and described in our Privacy Policy.

6. Disclaimer

The App is provided "as is" and "as available". We disclaim all warranties to the maximum extent permitted by law.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim relating to the App is limited to the amount you paid for the App in the 12 months preceding the claim.

8. Termination

You may stop using the App and cancel your subscription at any time. We may suspend or terminate access if you violate these Terms.

9. Governing Law

These Terms are governed by the laws of Japan. Any disputes will be resolved in the Tokyo District Court.

MindDrop 利用規約

第1条（適用）

本規約は、株式会社ReFlow（以下「当社」）が提供する音声タスク管理アプリ「MindDrop」（以下「本アプリ」）の利用条件を、本アプリを利用するすべての方（以下「ユーザー」）と当社との間で定めるものです。本アプリをダウンロード、インストール、または利用した時点で、ユーザーは本規約に同意したものとみなされます。

第2条（サービス内容)

本アプリは、ユーザーの音声を録音し、AI によって文字起こしおよびタスク抽出を行い、ユーザー自身のタスクとして管理する機能を提供します。本アプリの一部機能（録音回数の上限解放、サブタスク自動分割、カスタムリマインダー等）は、有料プラン「MindDrop Pro」の購入によって利用可能となります。

第3条（アカウントと利用環境）

本アプリの利用にあたり、ユーザーは Apple ID を必要とする場合があります。複数端末間でのデータ同期に iCloud を利用することがあります。インターネット接続が必要な機能（音声認識、タスク抽出）の利用にはデータ通信料が発生する場合があります。

第4条（有料プラン）

有料プランは Apple 社の App Store を通じて提供される自動更新サブスクリプションです。料金、課金、解約条件は App Store の定めに従います。期間終了の 24 時間以上前に解約しない限り自動更新されます。返金は Apple のポリシーに従って処理されます。

第5条（ユーザーの責任）

ユーザーは以下を遵守するものとします。

• 本アプリを法令および公序良俗に反する目的で利用しないこと
• 第三者の権利を侵害する内容（他人の個人情報を含む音声等）を録音しないこと
• 本アプリの逆コンパイル、改変、不正アクセスを行わないこと

第6条（知的財産権）

本アプリおよび本アプリに含まれるすべてのコンテンツに関する著作権その他の知的財産権は、当社または正当な権利者に帰属します。ユーザーが本アプリを通じて作成したタスクデータの著作権はユーザーに帰属しますが、サービス提供のために必要な範囲で当社が利用することに同意するものとします。

第7条（免責）

当社は、本アプリの内容について、その正確性・完全性・有用性等を保証しません。AI による音声認識・タスク抽出の結果に誤りが含まれる場合があります。本アプリの利用または利用不能によって生じた損害について、当社は法令で許容される最大限の範囲で責任を負いません。

第8条（サービスの変更・終了）

当社は、ユーザーへの事前の通知なく、本アプリの内容変更、提供中止を行うことができます。

第9条（規約の変更）

当社は、必要と判断した場合、本規約を変更できるものとします。変更後の規約は、本アプリ内または当社ウェブサイトでの掲示をもって効力を生じます。

第10条（準拠法・管轄）

本規約の準拠法は日本法とし、本規約に関する一切の紛争については、当社の本店所在地を管轄する裁判所を専属的合意管轄とします。
